             Plaintiff creditor and defendants, the company, partners, and a trustee, sought summary judgment in the creditor's request for an asserting judgment that it was entitled to absolute judgment proceeds and a claim for a deficiency after the default by the partnership on its loan agreement with the creditor. The facts of the case: "On May 14, 1991, the creditor, American National Insurance Company had filed a complaint against the United States and various other defendants. The Defendants are Thomas R. Green, and John T. Murphy have requested for summary judgment as to liability on two Count of American National's first amended complaint and second amended counterclaim and cross-claim. Mr. Green and Mr. Murphy contend that they were limited partners in LLP; therefore, they are not responsible for the shortfall. This count alleges that American National is eligible to a deficiency judgment in the amount of $1,437,840.00 after an alleged default by Gilroy, Sims under the terms of a promissory note, foreclosure and sale of the real property securing the subject note pursuant to a deed of trust and security agreement executed by Gilroy, Sims. Defendants contend that as limited partners who did not sign the original loan documents associated with the promissory note they cannot be liable. American National Insurance Company responds that Mr. Green and Mr. Murphy are liable under the terms of the Restated partnership Agreement.".
             Issue.
             The issue in this case is Gilroy, Sims & Associates Ltd. (Gilroy, Sims) was a Limited partnership engage in real estate development business whose original partners were Richard Gilroy and William Sims. Thomas Green and John Murphy Jr. were initially listed as a limited partner.
